GENERAL TERMS AND CONDITIONS OF SALE


GENERAL PROVISIONS

These general terms and conditions of sale apply to equipment & services sold by IZEM CONSULTING to any third party.

SUPPLIES

The specifications listed in our catalogs or advertising materials, or those of our suppliers, are for informational purposes only.
IZEM CONSULTING reserves the right to substitute all or part of its supplies and services with products or services of equal or superior quality, even if obtained by different means.

PRICES

The prices of IZEM CONSULTING are established based on the economic conditions at the time of publication. They may be modified without notice, in accordance with Moroccan legislation. The applicable prices are those in effect at the time of delivery.

CONCLUSION OF SALES

The sales contract becomes effective only after express acceptance of the order by IZEM CONSULTING, confirmed by an acknowledgment of receipt. However, the client may not use the absence of an acknowledgment to cancel or modify their order. 
Any order implies full acceptance of these General Terms and Conditions of Sale. Any verbal information or clarification provided by IZEM CONSULTING must be confirmed in writing to be contractually valid.

DELIVERY

Delivery is made directly to our clients and is effective upon notification of availability. The transfer of risk and responsibility for the goods takes place at the time of delivery. 
The buyer must collect the goods within two weeks of the availability notice. After this period, the order may be canceled automatically and without formal notice at IZEM CONSULTING’s discretion. If IZEM CONSULTING does not exercise this right, the agreed price will be increased to include storage fees, and the buyer shall continue to bear all associated risks. 
Goods delivered remain the property of IZEM CONSULTING until full payment of the corresponding invoices.

DÉLAIS DE LIVRAISON

Delivery times are indicative and start from the date of receipt of the deposit, unless otherwise agreed. The buyer cannot claim compensation for delays without first notifying IZEM CONSULTING in writing. 
IZEM CONSULTING shall not be held liable in the following cases:​

  • In case of a major force
  • Delays attributable to the buyer, including failure to provide necessary information in time
  • Breach of agreed payment terms

Delays caused by IZEM CONSULTING do not justify cancellation of the order. Compensation may only be granted if penalties were contractually agreed upon and accepted by IZEM CONSULTING.

PACKAGING

Prices include standard packaging. 
Any special packaging requested by the client will incur additional charges. Packaging is not returnable.​

TRANSPORT

Prices are ex-works. Unless otherwise agreed, all transportation, insurance, and handling costs are the buyer’s responsibility and at their risk. 
It is the buyer’s responsibility to inspect shipments upon arrival and pursue claims with carriers or insurers if needed.

TRANSFER OF RISK

All risks related to the goods are transferred to the buyer once the products are made available at IZEM CONSULTING’s premises.

TRANSFER OF OWNERSHIP

Ownership of the goods is transferred to the buyer only upon full payment of the principal, interest, and any ancillary charges.

CLAIMS

Any claim must be made in writing and addressed to IZEM CONSULTING to be valid.

PAYMENT TERMS

Payment terms and conditions are specified in the quotation. In case of delayed payment, IZEM CONSULTING may charge interest based on the legal rate in effect. 
IZEM CONSULTING reserves the right to change its pricing without prior notice.

WARRANTY

IZEM CONSULTING commits to correcting any functional defect resulting from design, material, or manufacturing issues. This warranty does not apply in the following cases:

  • Due to maintenance not in accordance with the instructions of IZEM CONSULTING, its suppliers, or with industry standards and best practices;
  • Due to improper storage conditions;
  • Due to failure to comply with installation and commissioning instructions;
  • Due to modifications or additions made to the products by the buyer without the prior and express approval of IZEM CONSULTING.

Warranty is also excluded for:

  • Consumables or normal wear and tear
  • Damage due to misuse or lack of supervision
  • Any incident not attributable to IZEM CONSULTING

Warranty is valid for twelve (12) months from delivery. Repairs or replacements do not extend the warranty period. 
Replaced parts become the property of IZEM CONSULTING. Repairs are carried out at IZEM CONSULTING’s premises, and defective items must be shipped at the buyer’s expense. 
To benefit from the warranty, the buyer must notify IZEM CONSULTING as soon as a defect is identified and provide proof of the malfunction.

COMMISSIONING SUPPORT

Unless otherwise stated, prices do not include on-site assembly, commissioning, or spare parts. 
Terms of assistance and commissioning services are defined in separate specific conditions.​

LIABILITY

IZEM CONSULTING’s liability is limited to obligations defined in the order and these terms. 
IZEM CONSULTING shall not be liable for any indirect or consequential damages, including lost profits or production loss.

SPECIFIC CONDITIONS

These general terms may be amended or supplemented by specific conditions applicable to certain products or solutions.

DISPUTE RESOLUTION

Any dispute related to an offer or sale by IZEM CONSULTING that cannot be resolved amicably will be under the exclusive jurisdiction of the courts of Rabat.
